Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Deliver On Success LLC (“we,” “us,” or “our”), a Nevada limited liability company. By accessing or using deliveronsuccess.com and the OMAP (Ontology-Mapped Advisor Platform) application at app.deliveronsuccess.com (collectively, the “Services”), you agree to be bound by these Terms.

If you do not agree with these Terms, you must not use our Services.

Description of Services

OMAP is an AI-powered strategic advisory platform that provides business analysis, strategic planning tools, scenario modeling, and related advisory outputs. The platform uses artificial intelligence, structured knowledge graphs, and industry data to generate insights and recommendations for privately-owned businesses.

Advisory Disclaimer

THE SERVICES PROVIDED BY DELIVER ON SUCCESS LLC ARE FOR INFORMATIONAL AND ADVISORY PURPOSES ONLY.

You expressly acknowledge and agree that:

• All analysis, recommendations, strategies, scenarios, and other outputs generated by the OMAP platform constitute general business guidance and do not constitute professional financial, legal, accounting, tax, or investment advice.
• You are solely responsible for evaluating the suitability of any recommendations and for all decisions and actions taken based on information provided through our Services.
• We do not guarantee the accuracy, completeness, reliability, or timeliness of any analysis or recommendation generated by the platform.
• AI-generated outputs may contain errors, omissions, or recommendations that are not appropriate for your specific business circumstances.
• You should consult with qualified professional advisors (attorneys, accountants, financial advisors) before making significant business decisions.

Deliver On Success LLC expressly disclaims any and all liability for actions taken or not taken based on any output, recommendation, or analysis provided through the OMAP platform.

Account Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must provide accurate and complete information when creating your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

Your Data and Confidential Information

Data You Provide

You retain ownership of all data you upload or input into the OMAP platform, including company profiles, financial data, customer information, and strategic plans. By providing this data, you grant us a limited license to process it solely for the purpose of delivering the OMAP service to you.

Confidentiality

We treat all business data you provide as confidential and will not disclose it to third parties except as required by law or as necessary to provide the Services (e.g., processing through our AI infrastructure).

Data Loss Disclaimer

YOU ACKNOWLEDGE AND AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING BACKUPS OF ALL DATA YOU UPLOAD OR INPUT INTO THE PLATFORM.

While we implement commercially reasonable security measures and maintain automated backups, we are not liable for:

• Loss, corruption, or unauthorized access to your data
• Service interruptions, server failures, or data center outages
• Data loss resulting from account termination or service discontinuation
• Data loss caused by third-party service providers, cyberattacks, or events beyond our reasonable control

We strongly recommend that you maintain independent copies of all business data you provide to the platform.

Intellectual Property

Our Property

The OMAP platform, including its software, design, algorithms, knowledge graphs, industry frameworks, documentation, and all related intellectual property, is owned by Deliver On Success LLC. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described herein.

Your Content

You retain all rights to the data and content you provide. The strategic analyses, reports, and recommendations generated by the platform based on your data are provided for your use but incorporate our proprietary methodologies and AI capabilities.

Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Services
• Interfere with or disrupt the integrity or performance of the Services
• Reverse-engineer, decompile, or disassemble any aspect of the platform
• Use the Services to process data belonging to third parties without their authorization
• Resell, sublicense, or commercially redistribute outputs from the platform
• Upload malicious code, viruses, or harmful content

Service Availability

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DELIVER ON SUCCESS LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Cost of procurement of substitute services
• Business interruption or loss of goodwill

WHETHER ARISING FROM CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless Deliver On Success LLC and its officers, directors, members, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any data you upload or input into the platform
• Any actions taken based on outputs from the platform

Termination

Either party may terminate the use of Services at any time. Upon termination:

• Your right to access the Services will cease immediately
• We may retain your data for a reasonable period to allow you to export it, after which it will be deleted
• Provisions that by their nature should survive termination (including liability limitations, indemnification, and governing law) will remain in effect

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email. Your continued use of the Services after changes are posted constitutes acceptance of the modified Terms.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict-of-law provisions.

Any dispute arising from these Terms or the Services shall first be submitted to good-faith mediation. If mediation is unsuccessful, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Nevada. Each party shall bear its own costs of arbitration.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action or other representative proceeding.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Deliver On Success LLC regarding the use of the Services.
